1.    PROJECT DESCRIPTION项目描述

Project: Installation of Rooftop Solar Panel System at Sinopec

       中石化屋顶太阳能系统安装项目

2.    SCOPE OF WORKS: 工作范围:

Engineering, procurement, construction, licensing and other construction-related work to meet the following requirements. Refer to the drawings and materials in Appendix 2. The bidder needs to perform site visit within one week after receiving the invitation to bid to confirm whether the description is correct, whether there are any missing items, if so, please add them; is the quantity correct? If it is incorrect, modify it and fill it in the Appendix 2 provided.

工程设计、采购、施工、许可及其他与施工相关的工程工作,须满足以下要求。请参阅附录2中的图纸和材料。投标人须在收到投标邀请后一周内进行现场考察,确认工程描述是否正确,是否存在遗漏项目,如有遗漏,请补充;工程数量是否准确?如有错误,请修改并填写在提供的附录2中。

 

2.1  Project Installation of Rooftop Solar Panel System at Sinopec

中石化屋顶太阳能系统安装项目

2.1.1       Area Installation included as following: -

本项目安装范围涵盖以下区域:

·        Area 1: Grease Building Rooftop 01; 区域 1:润滑脂厂房屋顶 01

·        Area 2: Grease Building Rooftop 02; 区域 2:润滑脂厂房屋顶 02

·        Area 3: Admin Building Rooftop; 区域 3:行政楼屋顶

·        Area 4: Lube Building Rooftop; 区域 4:润滑油厂房屋顶

·        Area 5: Storage Area Rooftop; 区域 5:仓储区域屋顶

·        Area 6: Warehouse Extension Building Rooftop; 区域 6:仓库扩建厂房屋顶

                                                                  

 

2.2  Project Duration: Project shall be completed by the end of Dec 2026, if cannot meet the deadline, please explain the reason and give us the shortest completion date.

项目期限:项目应于 2026 12 月底完成,如果不能按时完成,请说明原因并告知我们最短完成日期。

2.3  Quality requirement: It is required to comply with related laws, regulations and standards of Singapore, to achieve the criteria for acceptance, follow the existing and above for no specific requirement.

质量要求:必须符合新加坡的相关法律、法规和标准,以达到验收标准,遵循现有及以上规定,如无具体要求。

2.4  HSE standard: It is required to comply with related laws and regulations of Singapore and Sinopec.

HSE 标准:必须遵守新加坡和中国石化的相关法律法规。

2.5  Payment: Not Applicable as under Power Purchase Agreement

付款条款:本项目采用购电协议(PPA)模式,因此不涉及直接付款安排。

投标时间表

BIDDER shall submit BID offer by sending email (include all documents required in the tender documents) only to bidding.lube@sinopec.com , BEFORE 5:00pm 23rd June 20267 days after invitation. Fail to do so may be disqualified.

投标人应于2026623日下午5:00前(即邀请函发出后7天内)将投标书(包括招标文件要求的所有文件)以电子邮件形式发送至bidding.lube@sinopec.com。逾期提交投标书者可能被取消投标资格。(注意公开招标的要求)

AND SITE VISIT

BIDDER shall arrange site visit and submit SITE VISIT CONFIRMATION together with BID offer. See Appendix 1

If required, OWNER will arrange clarification meeting to clarify BIDDERS’ query.

投标人应安排现场考察,并随投标书一并提交现场考察确认函。参见附件1

如有需要,业主将安排澄清会议,以解答投标人的疑问。

PROPERTY OF DOCUMENTS保密性 - 文件所有权

BIDDER agrees to comply with following rules, whatever BIDDER will bid or not, will be awarded or not :

(1) All information related to the Project including all information contained in this Inquiry document shall be treated by the BIDDER as "Strictly Confidential".  BIDDER shall be solely responsible for all information, data and communication amongst the BIDDER's Staff in the course of BID preparation.

与本项目相关的所有信息,包括本询价文件中包含的所有信息,投标人均应视为“严格保密”。投标人在投标准备过程中,应对其工作人员之间所有信息、数据和沟通负全部责任。

ITB 包文件是且将始终是业主的财产,如果投标人拒绝提交投标邀请或投标人投标未成功,则 ITB 包文件将被销毁。

(3) All information, including but not limited to OWNER Confidential Information, which is provided for purposes of the Project, whether provided in tangible form, by electronic media, by visual display or orally, shall be considered to be Confidential Information (“Confidential Information”).  The existence of the Project, and the terms of any substantive discussions held between the parties, shall also constitute Confidential Information hereunder.

所有为本项目目的提供的信息,包括但不限于业主保密信息,无论以有形形式、电子媒体、视觉展示或口头方式提供,均应视为保密信息(“保密信息”)。本项目的存在以及双方之间进行的任何实质性讨论的条款,亦构成本协议项下的保密信息。

(4) OWNER   Confidential   Information   that   is   disclosed   to CONTRACTOR for the purposes of this Agreement by OWNER or by any other OWNER Affiliate (OWNER possesses, directly or indirectly, more than 50% of the voting rights of the other entity or the power to direct) shall be deemed to be OWNER Confidential Information hereunder and covered by the terms of this Agreement.

为履行本协议之目的,由所有者或任何其他所有者关联公司(所有者直接或间接拥有该其他实体 50% 以上的投票权或领导权)向承包商披露的所有者保密信息,应视为本协议项下的所有者保密信息,并受本协议条款的约束。

(5) CONTRACTOR agrees that,  for  a  period  of  ten  (14)  years  from  the  date  it  receives  any  Confidential  Information (“Confidentiality Period”), it shall (i) maintain such Confidential Information in strict confidence in  accordance  with  the  procedures  it  uses  in  safeguarding  its  own  confidential  business information, but in no event less than a reasonable degree of care, (ii) use such Confidential Information only for the purposes described herein, (iii) disclose such Confidential Information only to such of its directors, officers, employees, legal counsel, advisors, and sub‐OWNERs who have a  need to know such Confidential Information in connection with the Project (“Authorized  Recipients”) and then only after each such person has been advised of the confidentiality  obligations contained herein, and promptly upon the request of OWNER, return all such  Confidential Information to OWNER and destroy all compilations, analyses  and  other  materials  which  contain  any  Confidential  Information, confirming such destruction in writing to OWNER .

承包商同意,自其收到任何保密信息之日起十 (14) 年内(“保密期”),其应 (i) 按照其保护自身商业机密信息所采用的程序,严格保密该等保密信息,但无论如何不得低于合理的谨慎程度;(ii) 仅将该等保密信息用于本文所述目的;(iii) 仅向其董事、高级职员、员工、法律顾问、顾问和分包所有者中因项目需要知悉该等保密信息者(“授权接收人”)披露该等保密信息,且仅在每位授权接收人均已被告知本文所载的保密义务后方可披露,并在业主要求时立即将所有该等保密信息返还给业主,并销毁所有包含任何保密信息的汇编、分析和其他材料,并以书面形式向业主确认该等销毁。

(6) CONTRACTOR shall ensure that each of its Authorized Recipients who receives any Confidential Information is aware of and adheres to the terms of this Agreement. On request by OWNER, CONTRACTOR shall keep OWNER informed of their identity.

承包商应确保其所有接收保密信息的授权接收方均知悉并遵守本协议条款。应业主要求,承包商应告知业主其授权接收方的身份。

6      COST OF BIDDER PREPARATION投标人准备成本

投标人因准备、提交投标书及澄清相关事宜而产生的一切费用均由投标人自行承担。

业主对投标人因投标及其补充文件而产生的任何费用或义务,无论其原因或性质如何,直至最终授予分包合同,均不承担任何责任,亦不支付任何费用或义务。

选择与决定

OWNER reserves the unconditional right to reject in whole or in part; any or all BIDDERs; to waive irregularities in any BID; and the right of absolute discretion in the acceptance of a particular BID and to select the BIDDER of its choice without assigning any reasons. OWNER shall not be bound to accept the lowest cost BID submitted or any BID or commit itself with any of the BIDDERs.

OWNER have the right to award separately to different contractors. 

任何更改、修改、不完整或附带条件的投标书,或不符合招标要求的投标书,均可能被视为无效投标而被拒绝。业主保留无条件拒绝全部或部分投标人的权利;有权放弃任何投标书中的违规行为;并拥有对特定投标书的接受与否的绝对酌情权,且无需说明任何理由即可选择其属意的投标人。业主不一定必须接受最低报价的投标书,也不一定接受任何投标书,更不会对任何投标人做出任何承诺。

业主有权将合同分别授予不同的承包商。

      Copy of Certificate for QHSSE Management System

工程设计,包括PI&D和草图绘制等。

8.3 Project Execution Plan: follow the requirement given 项目执行计划:遵循给出的要求

provide project schedule including preparation and progress to completion.

投标人应提供项目进度计划,包括准备工作和项目完成进度。

质量管理计划


投标人应提交有效的 ISO 9001 或同等质量认证证书副本。

健康、安全和环境计划

BIDDER shall submit a copy of a valid HSE or equivalent certification投标人应提交有效的HSE或同等认证副本

Above documents will be part of tender evaluation. Fail to provide may be disqualified.

9      CONTENTS OF COMMERCIAL BID商业投标书的内容

Solar Power Tariff and total Guaranteed Energy Generation for 14 years (KW) accounts for 70%. 能费率及14年保证发电量占比70%

shall provide Price Schedule in template of Appendix 2.

投标人应按附录 2 的模板提供价格表。


投标人的报价应以新加坡元表示,价格不受价格上涨或汇率波动的影响。

AGREEMENT.

价格包含所有费用,但不含消费税,且在协议有效期内不作任何调整。

The Solar Power Tariff provided shall remain fixed throughout the entire contract period. Under the Power Purchase Agreement (PPA), all costs related to the solar panel installation are deemed to be fully included in the tariff, including but not limited to construction costs, material costs, labour costs, maintenance costs, replacement part costs, preventive maintenance service support costs, monitoring system costs, authorities’ licensing and application fees, as well as Professional Engineer (PE) and Qualified Person (QP) submissions to the relevant authorities.

No price escalation shall be permitted unless specifically stated in the contract. The tariff shall be deemed fully inclusive of all costs, risks, taxes, overheads, and profits associated with or arising from the full performance of the Works by the Subcontractor, excluding Singapore Goods and Services Tax (GST).         

PPA)模式下,太阳能板安装相关的所有费用均视为已包含在该电价内,包括但不限于施工费用、材料费用、人工费用、维护费用、零部件更换费用、预防性维护服务支持费用、监控系统费用、政府部门许可证及申请费用,以及专业工程师(PE)和合格申报人(QP)向相关政府部门提交审批的费用。

除合同中另有明确规定外,合同期间不得提出任何价格调整。该电价应被视为已全面包含分包商为完整履行本工程所涉及或相关的所有成本、风险、税费、管理费用及利润,但不包括新加坡消费税(GST)。

9.2 Technical bid score by questionnaire in appendix 3 accounts for 30%. 附件三的问卷技术分占比30%

9.3 VALIDITY OF BID 有效投标

period of time, the duration of BID Validity may be extended as necessary with the written agreement of the BIDDER.

投标有效期为自投标截止日期起60天。在此期间,经投标人书面同意,投标有效期可根据需要延长。

除非业主另有要求,否则投标人不得修改所提交投标书的任何部分。

以上文件将作为投标评估的一部分。未能提供相关文件可能导致投标资格被取消。

10   Other requirements

10.1 In case of any change or variation, approval from OWNER should be obtained first.

10.2 Concealed works should be checked and accepted by OWNER first, subsequent work can be done.

10.3 One set hardcopy & one set soft copy of as-built document (include as-build drawing,  and update related P&ID and drawings.) should be provided to OWNER.

10.1 如有任何变更或修改,须事先获得业主批准。

10.2 隐蔽工程须先经业主检查验收,方可进行后续施工。

10.3 应向业主提供一套纸质版和一套电子版竣工图(包括竣工图、更新后的相关工艺流程图及其他图纸)。
